Terms of Use

1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you (individually or on behalf of an organization, "Customer" or "you") and Ingestia ("Ingestia," "we," "our," or "us") governing your access to and use of the Ingestia platform, APIs, SDKs, dashboard, and related services (collectively, the "Service").
By creating an account or using the Service, you confirm that you have read, understood, and agreed to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree, do not use the Service.
2. Description of Service
Ingestia is a behavioral event analytics platform that enables you to collect, store, query, and visualize user event data from your applications via client SDKs, a REST API, and a web-based dashboard. The Service includes features such as event streams, funnel analysis, custom dashboards, and person analytics.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Account Registration and Security
You must register for an account to access the Service. You agree to provide accurate, current, and complete registration information and to keep it updated.
You are responsible for maintaining the confidentiality of your login credentials and API keys. You are responsible for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.
You may not share accounts between multiple individuals or use the Service to create accounts on behalf of others without authorization.
4. Acceptable Use
You agree not to:
- Use the Service to collect data without the knowledge or consent of your end users where required by applicable law
- Transmit data that contains personal data of children under 16 without verifiable parental consent
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to transmit malware, spam, or any content that violates applicable law
- Circumvent usage limits, rate limits, or access controls imposed by the Service
- Resell or sublicense access to the Service without our prior written consent
- Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure
We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated this section.
5. Subscription Plans and Billing
The Service is offered under Free, Pro, and Enterprise plans. Plan features, limits, and pricing are described on our pricing page and are subject to change with advance notice.
Free Plan. Available at no charge, subject to usage limits. We reserve the right to discontinue the Free Plan with 30 days' notice.
Paid Plans. Paid plans are billed in advance on a monthly or annual basis. Fees are non-refundable except where required by applicable law or as expressly stated at the time of purchase.
Taxes. Prices exclude applicable taxes. You are responsible for all taxes associated with your use of the Service.
Overages and Upgrades. If you exceed the event ingestion limits of your plan, we may throttle ingestion, notify you to upgrade, or charge for overages as specified in your plan details.
Cancellation. You may cancel your subscription at any time through the dashboard. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial periods unless required by law.
Payment Processing. Payments are processed by our third-party payment provider. By providing payment information, you agree to their terms and authorize us to charge your payment method on a recurring basis for your selected plan.
6. Data Ownership and Licensing
Your Data. You retain all ownership rights to the event data and other content you submit to the Service ("Customer Data"). You grant Ingestia a limited, non-exclusive, worldwide license to store, process, and display Customer Data solely to provide the Service to you.
Our Rights. We may generate aggregated, anonymized statistics derived from Customer Data that do not identify you or your end users, and use such statistics to improve the Service.
Data Export. You may export your Customer Data at any time through the dashboard or API. Upon account termination, you have 30 days to export your data before it is permanently deleted, subject to your plan's retention policy.
7. Intellectual Property
The Service, including its software, design, trademarks, logos, and documentation, is owned by Ingestia and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
Any feedback, suggestions, or ideas you provide regarding the Service may be used by Ingestia without restriction or compensation to you.
8. Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described therein.
If you process personal data of your end users through the Service, you are the data controller and Ingestia acts as a data processor. You are responsible for obtaining all necessary consents and providing all required notices to your end users under applicable data protection laws.
9. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party.
10. Termination
By You. You may terminate your account at any time through the dashboard settings.
By Us. We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms, fail to pay fees, or if we are required to do so by law. We may also terminate the Service entirely with 30 days' notice.
Effect of Termination. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including data ownership, intellectual property, disclaimers, limitation of liability, and governing law) shall survive.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
WE DO NOT GUARANTEE THE ACCURACY OR COMPLETENESS OF ANY ANALYTICS DATA PRODUCED BY THE SERVICE. YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY DATA-DRIVEN DECISIONS MADE USING THE SERVICE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INGESTIA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
INGESTIA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO INGESTIA IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Ingestia and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) your Customer Data; or (d) your violation of any applicable law or third-party rights.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration or the competent courts of the jurisdiction applicable to your location.
15. Changes to These Terms
We may update these Terms at any time. We will notify you of material changes by email or by posting a notice in the dashboard at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
16. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy and any order forms or plan descriptions, constitute the entire agreement between you and Ingestia regarding the Service.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.
